Terms of Service

These Terms of Service ("Terms") govern your access to and use of the ServerTools website ("Site"), software binary ("Software"), and related services ("Services") provided by Netra Security ("we", "us", "our"). By purchasing a license, downloading, or using the Software, you agree to be bound by these Terms.

If you do not agree to these Terms, do not use the Software or Services.

1. Definitions

• "Software" means the ServerTools binary executable, including all 90 security scanners across 14 categories.
• "License Key" means the Ed25519-signed SRVT token that activates paid features in the Software.
• "License Tier" means the purchased access level: Single Tool, Category Bundle, All Scanners, Professional, or Enterprise.
• "You" / "User" means the individual or organization that purchases or uses the Software.
• "Authorized Target" means a system, network, or application that you own or have explicit written permission to test.

2. License Grant

2.1 Scope

Subject to these Terms and payment of applicable fees, we grant you a non-exclusive, non-transferable, revocable license to use the Software in accordance with your purchased License Tier.

2.2 Free Trial

The Software may be used without a License Key in trial mode. Trial mode limits scan output to 3 findings per scan. All other functionality is identical to licensed use.

2.3 License Restrictions

You may NOT:

• Share, redistribute, resell, sublicense, or transfer your License Key to another person or organization.
• Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the Software.
• Remove, alter, or obscure any proprietary notices, license verification, or branding in the Software.
• Circumvent or attempt to circumvent the license validation mechanism.
• Use the Software to build a competing product or service.
• Use one License Key on more machines than permitted by your tier (Single Tool: 1 machine, Category Bundle: 3 machines, All Scanners: 5 machines, Professional: 10 machines, Enterprise: unlimited within your organization).

2.4 License Duration

Licenses are valid for the period specified at purchase (typically 1 year from date of issue). The expiration date is cryptographically embedded in your License Key. Expired licenses revert the Software to trial mode. Renewal licenses are available at the then-current price.

3. Authorized Use Only

3.1 Your Responsibilities

• Obtain proper written authorization before scanning any system you do not own.
• Comply with all applicable local, state, national, and international laws regarding computer security testing.
• Maintain documentation of your authorization (scope of work, signed agreements, rules of engagement) for each engagement.
• Ensure your use complies with the Computer Fraud and Abuse Act (CFAA) in the US, Computer Misuse Act (CMA) in the UK, IT Act 2000 in India, and equivalent legislation in your jurisdiction.

3.2 Prohibited Uses

You must NOT use the Software to:

• Scan, probe, or assess systems without explicit authorization from the system owner.
• Launch denial-of-service attacks or intentionally disrupt services.
• Exploit vulnerabilities discovered by the Software for unauthorized access.
• Conduct corporate espionage or competitive intelligence gathering.
• Violate any applicable law, regulation, or industry standard.
• Cause intentional damage to any system, data, or network.

3.3 Our Liability for Misuse

We are not responsible for how you use the Software. You assume full liability for any consequences arising from your use. We provide the Software as a defensive security auditing tool, and its use for offensive purposes against unauthorized targets is strictly prohibited.

4. Payments and Billing

4.1 Pricing

All prices are listed in USD unless otherwise specified. Prices for Indian customers paying via Razorpay are converted to INR at the prevailing exchange rate. Prices are subject to change; however, price changes do not affect existing valid licenses.

4.2 Payment Processing

Payments are processed by third-party providers (Stripe, Razorpay, PayPal). By making a purchase, you also agree to the payment processor's terms of service. We do not store your payment card details.

4.3 Taxes

Listed prices do not include applicable taxes (GST, VAT, sales tax). You are responsible for paying any taxes imposed by your jurisdiction. For Indian customers, 18% GST applies and is calculated at checkout.

4.4 License Delivery

Upon successful payment, your License Key is generated immediately and displayed on-screen. It is also emailed to your registered address. If you do not receive your key within 24 hours, contact support@netra.tools.

5. Intellectual Property

5.1 Ownership

The Software, including its source code, algorithms, design, documentation, and all associated intellectual property, is owned by Netra Security. Your License Key grants usage rights only — not ownership.

5.2 Scan Output

You own all scan results, reports, and findings generated by the Software. We have no claim to your scan data, and as described in our Privacy Policy, we never receive or access it.

5.3 Feedback

If you provide feedback, suggestions, or bug reports, you grant us a perpetual, irrevocable, royalty-free license to use that feedback to improve the Software without obligation to you.

6. Disclaimers

6.1 No Warranty

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF RESULTS.

6.2 Security Assessment Limitations

The Software performs automated security checks based on known vulnerability patterns and configuration best practices. It does NOT guarantee:

• Detection of all vulnerabilities in a target system.
• Absence of false positives or false negatives in scan results.
• That remediation of reported findings will make a system fully secure.
• Compliance with any specific security standard or regulation.

Scan results should be verified by qualified security professionals and used as one input among many in a comprehensive security program.

6.3 Third-Party Systems

The Software connects to target systems specified by you. We are not responsible for any impact on target systems, including but not limited to service disruption, data corruption, or triggering of intrusion detection/prevention systems.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NETRA SECURITY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SOFTWARE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR YOUR LICENSE IN THE 12 MONTHS PRECEDING THE CLAIM.

8. Indemnification

You agree to indemnify, defend, and hold harmless Netra Security, its officers, directors, and employees from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Software in violation of these Terms.
• Your scanning of systems without proper authorization.
• Your violation of any applicable law or third-party rights.
• Any claim by a third party related to your security testing activities.

9. Termination

9.1 By You

You may stop using the Software at any time. Deleting the binary and License Key constitutes termination. No refund is issued for early termination (see Refund Policy for exceptions).

9.2 By Us

We may terminate or suspend your license immediately, without prior notice, if:

• You violate these Terms, particularly the Authorized Use provisions.
• You attempt to circumvent license validation.
• You redistribute or share your License Key.
• We receive a valid legal order requiring termination.

9.3 Effect of Termination

Upon termination, your License Key is revoked and the Software reverts to trial mode. Sections 3.3, 5, 6, 7, 8, and 11 survive termination.

10. Updates and Modifications

We may release updated versions of the Software. Updates may add, modify, or remove scanners and features. Your license entitles you to updates released during your license period. We are not obligated to provide updates, backward compatibility, or support for deprecated features.

11. Governing Law and Disputes

These Terms are governed by the laws of India. Any disputes arising from these Terms shall be resolved through binding arbitration in Mumbai, India, under the Arbitration and Conciliation Act, 1996. Each party bears its own costs. Class actions and jury trials are waived to the extent permitted by law.

12. General Provisions

• Entire Agreement: These Terms, together with the Privacy Policy, Refund Policy, and EULA, constitute the entire agreement between you and Netra Security.
• Severability: If any provision is held invalid, the remaining provisions continue in full force.
• Waiver: Failure to enforce any provision does not constitute a waiver.
• Assignment: You may not assign these Terms. We may assign them in connection with a merger, acquisition, or sale of assets.
• Force Majeure: We are not liable for failures caused by circumstances beyond our reasonable control.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email at least 30 days before taking effect. Continued use after changes take effect constitutes acceptance. If you disagree with changes, your remedy is to stop using the Software.
